OFFICIAL RULES

THIS IS A CONTEST OF SKILL. NO PURCHASE IS NECESSARY TO ENTER THIS CONTEST.

1. GENERAL: These are the Official Rules, (“Rules”) of the Palladium Palcaching 2006 promotion (the “Contest”). The Contest is sponsored and presented by the Consolidated Shoe Company (the “Sponsor”). The Contest is intended for participation in the 48 Contiguous United States and the District of Columbia only, and specifically excludes overseas military installations, Puerto Rico and other U.S. territories. The Contest shall only be construed and evaluated according to U.S. law. Every contest participant (“You”) MUST BE a legal U.S. resident and must currently reside in the 48 Contiguous United States or the District of Columbia. You must be eighteen (18) years of age or older upon registering for the Contest. Internet access is required for participation in this Contest, and a handheld GPS device is strongly recommended. This Contest is void where prohibited by law.

2. CONTEST TERM: The Contest begins on March 31, 2006 at 8:00AM and ends on December 31, 2006 at 11:59 PM. (“Contest Term”). For purposes of these Official Rules, all times are Eastern Time (ET).

3. HOW TO ENTER: NO PURCHASE NECESSARY. To access the Contest, log on to www.palladiumshoes.com (the “website”) and click on the PALCACHING tab to register. REGSITRATION IS FREE. You must read these Official Rules and accept the terms and conditions presented herein prior to entry. You will be asked to provide Your name, email address, birth date, mailing address, telephone number, and will be prompted to select a username and password. As a Contest participant, You may access the Contest site at any time by logging onto the system with Your selected username and password. Refer to the Privacy Policy located at www.palladiumshoes.com/privacy for details on the use of your personal information. By entering the Contest, You agree to the use of Your personal information as described in the Privacy Policy.
Entry in the Contest constitutes Your consent to Sponsor’s use of Your name, city and state of residence, entry, likeness, photograph, and image for advertising, publicity, and promotional purposes in any media, online or offline, without further permission, consent, payment or other consideration, except where prohibited by law.

Limit one (1) entry per person (regardless of whether a person has more than one email address) or email address (regardless of whether more than one person uses the same email address). If more than one (1) entry is received per person or email address, the person, or persons connected with the email address, will be denied entry to the site and will be banned from participation in the Contest. It is the sole responsibility of the Entrant to notify Sponsor if his or her email or physical address changes. Sponsor shall not be responsible for any prize sent to an incorrect address as a result of a Participant’s failure to update personal information.

In the event of a dispute regarding the identity of any Contest participant, entries will be declared made by the authorized account holder of the email address submitted at time of entry. Authorized account holder is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business or educational institution) that is responsible for assigning email addresses for the domain associated with the submitted email address.

4. HOW TO WIN: During every Information Period, as defined below, new cache clues will be posted on the Palcaching site, and the status of existing caches will be updated. You must check back at 10 AM on the 15th of every month during the contest term to obtain this information.
Enter the Palcaching section of www.Palladiumshoes.com to receive cache location clues. Use the clues in combination with Your knowledge of locations and/or Your handheld GPS device to locate a cache. Inside the cache is a special code. You must return to the website to enter the code to either obtain further clues, or to claim prizes, as determined below. Caches will be located in five (5) Contest regions. Prizes will be awarded in each Contest region as follows:
The first 5 participants to successfully log three (3) cache codes from specific locations of varying difficulty, to be identified by the game clues posted on the website, will receive a cash prize of $100.00 US Dollars. Limit one prize per Contest participant per Contest region.
The next 10 participants to successfully log three (3) cache codes from specific locations of varying difficulty, to be identified by the game clues posted on the website, will receive a free pair of Palladium shoes. See below for prize details. Limit one prize per Contest participant per Contest region.

All other Contest participants who successfully log 2 cache codes from caches identified by clues posted on the website will receive 30% off the full retail price of any pair of Palladium shoes.

5. PRIZES: A total of 25 cash prizes in the amount of $100.00 US Dollars will be awarded. A total of 50 free pairs of shoes will be awarded. The number of 30% discounts awarded will be determined by the number of successful Contest participants. No substitution or transfer of prizes or cash equivalent is permitted, but Sponsor reserves the right to substitute a prize of equal or greater value if advertised prize is unavailable. Prizes may be redeemed at www.palladiumshoes.com only. Prizes may not be redeemed at retail. Discount prizes cannot be combined with any other discount offer.

6. ELIGIBILITY: Employees (and the members of the immediate families or households of such employees) of the Consolidated Shoe Company, its parent, affiliates, subsidiaries, related entities, agents, advertising, promotion, fulfillment agencies, and anyone involved in this Contest’s production, development or handling, and all other Contest promotional partners are not eligible to participate in this Contest.

7. CONDITIONS OF PARTICIPATION: You agree (a) to be bound by these Official Rules, which are final and binding on all matters pertaining to this Contest, and (b) to release, indemnify and hold harmless the Consolidated Shoe Company, and any parent, affiliate, subsidiary, related entity, division, distributor, wholesaler, partner, licensee, retailer, sponsor, partner, representative, vendor, contractor, successor, assign, principal, shareholder, director, officer, employee or agent, and their advertising, promotion, or fulfillment agencies, and anyone involved in this Contest’s production, development or handling, and all other Contest promotional partners (collectively the “Promotional Partners”) from any and all liability, claims for damages, losses or injuries of any kind, including injury, arrest, or death, resulting from or in connection with the Contest or from (i) altered, late, lost, damaged, destroyed, inaccurate, defaced, misdirected, mutilated, illegible, stolen, delayed, garbled, misrouted, incomplete entries or human, telephone, computer, online or technical malfunctions (including busy lines and disconnections), or (ii) Your participation in the Contest, or (iii) Your preparation for or participation in any Contest related activity including travel, or (iv) Your acceptance, receipt, use, misuse, possession or loss of any prize. This Contest is governed by, and these rules will be construed and interpreted pursuant to, the laws of the United States. All Federal, state and local laws and regulations apply. Restrictions, conditions, and limitations apply.
The prizes are awarded "AS IS" and without warranty, guaranty or representation of any kind, express or implied, (including without limitation, any implied warranty of merchantability or fitness for a particular purpose). Sponsor and Promotional Partners are not responsible for the inability of a winner to accept a prize for any reason nor for any delivery or travel cancellations, delays or interruptions. Normal Internet access and usage charges imposed by an Entrant's online service will apply.

8. CONDUCT: Sponsor reserves the right at its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or web site; to be acting in violation of the Official Rules; to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Contest participants shall not provide any information regarding cache locations or cache codes to any third party. Sponsor reserves the right to lock out any Participant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter. ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY ALTER OR DAMAGE ANY WEB SITE, ANY OF THE CACHES, OR OTHERWISE UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

9. LIMITATIONS OF LIABILITY: Sponsor and Promotional Partners are not responsible for typographical, printing or other errors in the offer or administration of this Contest, including but not limited to errors in the notification and announcement of the winners or the distribution of the prizes, nor are they responsible for any incorrect or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error which may occur in the processing of submissions in the Contest. Sponsor and Promotional Partners assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft of or destruction or unauthorized access to, or alteration of, entries. Sponsor and Promotional Partners are not responsible for any problems, failures or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, hardware/software, players or browsers, failure of email or Entrants due to or resulting from technical problems or traffic congestion on the Internet or at any web site or combination thereof, including injury or damage to participants or to any other person's computer related to or resulting from participating or downloading materials in this Contest.
Sponsor reserves the right to terminate Contest if rendered inoperable due to (a) infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Contest; or (b) earthquake, flood, fire, storm or other natural disaster, act of God, labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, act of terrorism, war or armed conflict (whether or not officially declared), or (c) theft vandalism, tampering, or removal by government or property owner of any of the caches. Further, Sponsor accepts no liability for lost or misplaced caches due to any of the above actions, events or conditions.

DISCLAIMER: Palcaching, like any outdoor activity, carries the risk of unforeseen hazards to person and property, including the risk of accident, injury, death or criminal prosecution. Factors such as weather, terrain, fitness level and experience must be considered prior to undertaking a search for a cache. It is Your responsibility to become thoroughly familiar with the conditions in the cache area, to adequately prepare for those conditions, and to act in a safe and responsible manner with respect to those conditions and with respect to Your personal abilities and limitations, and all applicable local laws. Always exercise common sense and caution. The Sponsor will not be liable for any direct, indirect, punitive, or consequential damages arising out of, or in any way connected with the use of this website, the information contained within, or Your participation in the Contest.

By observing and following the clues posted on the website, You acknowledge the above conditions, accept responsibility for Your own actions, and agree to hold harmless the Sponsor, website authors, advertisers and promoters. Further, You agree to provide this disclaimer to any person with whom You choose to participate in searching for the caches.

10. RULES/WINNERS LIST: This Contest is subject to these complete and Official Rules available during the Contest Term at www.palladiumshoes.com/palcaching101. Official Rules and a Winners List may be obtained by sending a self-addressed, stamped #10 envelope to:
